Rent Abatement Clause

A rent abatement clause provides the tenant with a defined period of free or reduced rent at the beginning of the lease term — commonly referred to as "free rent" or a "rent holiday." The abatement period allows the tenant to generate revenue from the space before full rent obligations begin, partially compensating for build-out costs and the time required to establish operations in the new location.

Why It Matters

Rent abatement is the most common landlord concession in commercial lease transactions and represents a significant economic component of the total lease value. A tenant negotiating a 3-month free rent period on a $30,000 per month lease is receiving a concession worth $90,000 in present value terms. How to Negotiate

Negotiate that the abatement period runs concurrently with the build-out period rather than after it, maximizing the time before full rent is due. Ensure the abatement is structured as a true rent waiver rather than a deferred rent obligation — some landlords structure "free rent" as rent that is deferred and due upon default or early termination, which is fundamentally different from a true abatement.
