The consent standard determines whether the landlord can arbitrarily block a transfer. "Sole discretion" gives the landlord absolute veto power. "Not to be unreasonably withheld, conditioned, or delayed" requires the landlord to have a legitimate business reason for refusal. In many states, courts will imply a reasonableness standard even if the lease is silent, but explicit language is far stronger protection.
In the "Assignment and Subletting" section, usually in the same paragraph as the consent requirement. Key language to look for: "sole and absolute discretion," "not to be unreasonably withheld," or "reasonably withheld, conditioned, or delayed."

Reasonable factors include: the proposed tenant's financial condition, business reputation, intended use, compatibility with other tenants, and whether the use would violate any exclusive provisions in other leases. Factors like wanting a higher rent from a different tenant are generally considered unreasonable.
